MEADOW LARK ESTATES NEIGHBORHOOD ASSOCIATION BY-LAWS:


current By-Laws approved and adopted on February 4th, 2010.


Article I:  NAME

 

The name of the organization shall be the Meadowlark Estates Neighborhood Association.

 

 

Article II:  PURPOSE

 

The purpose of the organization shall be to foster a greater sense of community among the residents through communication, civic pride, and heightened awareness.

 

 

Article III:  NON-PROFIT STATUS

 

This organization shall not be operated for profit.

 

 

Article IV:  MEMBERSHIP

 

Membership to the organization shall be open to all residents that live within the boundaries of Meadow Lark Estates Subdivision.  Membership shall be open to individuals without regard to race, sex, creed, religion, national origin, age, sexual orientation or marital status.  Each household shall have one vote.

 

 

Article V:  DUES

 

Dues shall be $5.00 per month per household.  Dues shall cover such expenses as attorney’s fees, flyers, postage, post office fees, committee supplies, telephone, decoration, donations, gifts, events and other administrative costs. 

 

No resident or household shall be denied membership for failure to pay dues.  Exercising the rights of membership shall be contingent upon the member being in good standing.  The definition of good standing shall mean members with dues current. 

 

 

Article VI:  MEETINGS

 

Meetings shall be held on a monthly basis between 7pm and 9pm on first Thursday of the month.  Additional meetings may be called at the discretion of the board on an issue-oriented basis.  Any action by the membership requires a majority vote of those present at the meeting.  The scheduled, reoccurring meeting time and place may be altered with a general vote of the membership or steering committee.  Any changes to meeting times shall be followed with advance notification of new details to the membership and neighborhood.

 

 

Article VII:  ELECTIONS

 

Election of officers shall be broken into two election cycles.  Cycle one shall include offices of President, Vice President and Parliamentarian.  Cycle two shall consist of Treasurer, Secretary and Assistant Secretary. 

 

Cycle one elections will be held at the June meeting of even years and cycle two elections will be held at the June meetings of odd years.  Terms shall be for two years with no limit to how many terms a person is elected to serve. 

 

Nominations shall be accepted from the floor.  Each nominee must be a member in good standing and give consent prior to the election. 

 

During elections, the highest office in that cycle shall be voted on first.  For example, in cycle one, the position of President shall be decided first, then Vice President, and finally Parliamentarian.

 

Once elected, an officer will begin their duties as of the next month.  (July for regular cycles).

 

SPECIAL ELECTIONS

 

Special Elections may be held if an officer can no longer maintain their status as an officer or has not attended enough meetings in a calendar year to retain office. 

 

Special Elections will be held to replace the officer position effected except for the office of President.  In the case of the President stepping aside, the Vice President shall become President and finish the current term.  A special election would then be held for Vice President.

 

Any office being filled by a Special Election shall only complete the current term of office.

 

 

Article VIII:  VOTING

 

One member of each household must be in good standing and be present at the June meeting to submit a vote in officer elections.  Voting by proxy will not be allowed. 

 

Each household in good standing shall be afforded one vote. 

 

Voting shall be made by paper ballot.

 

 

Article IX:  OFFICIERS

 

A member serving as an officer may not miss more than two meetings in a calendar year to retain his/her position as an officer.  Once three meetings are missed, a Special Election will be announced by the Secretary for the following meeting.

 

In-coming officers must agree to and sign the By-Laws set forth by the organization.

 

The officer whose position is up for Special Election due to absence shall have the right to ask for a review of the circumstances and challenge the decision to hold a special election.  This request can be made via email, letter or vocally to the Secretary within 14 days of the meeting where the announcement was made.  The By-Laws committee shall then convene before the next scheduled meeting to review and make a decision.  If the decision is made to continue with the special election it shall take place as planned during the following meeting.  If the decision is reversed, it shall be announced that the officer will retain their office and no election will be held.

 

A member seeking or holding an elected public office may not hold an office in the organization. 

 

 

Minimal definition for the President:

The President shall be responsible for presiding over all meetings.  It shall be the responsibility of the President to prepare the agenda. The President must approve any and all disbursement of organizational funds.  The President shall be allowed to spend organizational funds in an emergency such as flowers for the death of a organization’s member.  Emergency spending shall not exceed $100.00 per instance.

 

Minimal definition for the Vice President:

The Vice President shall act on behalf of the President in his/her absence. 

 

Minimal definition for the Treasurer:

The Treasurer shall be responsible for maintaining the checking account, collecting, donations and other funds, recording all collected funds and disbursements of all organizational funds.  The Treasurer shall disburse funds only with the approval of the President.

 

Minimal definition for the Secretary:

The Secretary shall keep the minutes of all meetings, maintain the official member list along with a mailing list of members.  The Secretary shall keep a record of events and maintains the By-Laws.

 

Minimal definition for the Assistant Secretary:

The Assistant Secretary shall act on behalf of the Secretary in his/her absence. 

 

Minimal definition of the Parliamentarian:

The Parliamentarian must assure an orderly and expeditious meeting.  He/She must have a sense of fairness, etiquette and decorum; must possess the ability to act promptly to restore order and attention at the first signs of disturbance; not permit abusive, defamatory, insulting language; not allow attacks upon members or their motives; insist that all remarks be addressed by the Chair.  This position can be difficult and must be supported by all members who will share the responsibility for maintaining an orderly procedure.

 

The organization shall purchase / own a copy of Robert’s Rules of Order and the Parliamentarian shall maintain the book.  The Parliamentarian shall also bring the copy of Robert’s Rules of Order to each meeting.

 

Parliamentarian shall ensure that meetings follow Robert’s Rules of Order.

 

 

Article X:  BEHAVIOR

 

It is extremely important to maintain decorum during meetings.  The Parliamentarian shall maintain a smooth and progressive meeting opportunity.  Motions that require more time or research may be tabled, postponed, or referred to a committee. 

 

 

Article XI:  POLITICAL ALIGNMENT

 

During meetings of the organization, we can invite speakers running for offices in East Point, Fulton County, and Georgia and will invite all candidates to speak for equal time.  However, the organization will not support or recommend any candidate as an organization.

 

Further, the organization shall not allow any candidate to place political signage in the area of the “Meadowlark Estates” sign at Ben Hill and

Meadow Lark Drive
.  The “area” of the sign will be defined as from Ben Hill Road to 10 yards past the sign moving into the neighborhood,  from Meadow Lark Drive to 5 yards past the sign moving east on Ben Hill Road.

 

 

Article XII:  BY-LAWS

 

During June the By-Laws committee shall look over the By-Laws to make any necessary adjustments.  The July Meeting will be used to have the organization vote on any changes and to have any new officers sign the By-Laws.
